Redwood AI Stock Tumbles 54% as Market Ignores DTC Access, C$1M IR Blitz and Quantum Pivot

Redwood AI unloaded a heavy calendar of positive developments last week — from smoother US trading mechanics and a seven-figure investor relations campaign to a strategic quantum-security acquisition — yet the market responded with a brutal sell-off. The Vancouver-based technology firm watched its shares collapse 54% over five trading sessions, closing Friday at C$3.70 on the Canadian Securities Exchange. For a company actively trying to boost its North American footprint, the rout sends a stark message: good news alone is no longer enough.

One of the few purely technical catalysts arrived in May, when Redwood obtained DTC eligibility for its common shares. The Depository Trust Company’s system allows US brokers and banks to settle trades electronically, a step that typically widens a small-cap’s potential investor base and improves liquidity. The market yawned. Redwood also poured more than C$1 million into raising its profile: it hired InvestorBrandNetwork for US$114,000 in cash (no stock compensation) through September 2026, and earlier in April awarded a C$900,000 mandate to Germany’s MCS Market Communication Service GmbH that runs until July 2026. Combined, the spending dwarfs the company’s current market traction.

Operationally, Redwood secured C$240,000 in advisory services and grants from the Canadian NRC-IRAP program for its Q-SAFE project, which aims to marry artificial intelligence with advanced optimization and eventually quantum hardware to screen hazardous substances for defense, security, industrial, pharmaceutical and emergency-response clients. The company also made Innovate BC’s list of “Top 25 Investible Companies,” a nod that brings visibility among international capital partners. Yet the share price continued to slide — over the past 30 days the stock has now lost roughly 44%.

Should investors sell immediately? Or is it worth buying Redwood AI?

The crown jewel of the recent news flow is a non-binding letter of intent to acquire Quantum.IQ, a Vancouver-based specialist in post-quantum cryptography. Quantum.IQ helps government, defense, financial and critical-infrastructure clients audit cryptographic vulnerabilities and migrate to quantum-resistant security systems — a market that is drawing heavy investment from both sovereign and corporate budgets. Redwood proposes to pay up to 14 million of its own shares, of which 7 million would be issued at closing and the remainder upon achieving certain milestones. All shares are subject to a staggered 24-month lock-up. The deal remains contingent on due diligence, a definitive agreement and regulatory approvals.

The market has so far priced in the risk that the Quantum.IQ transaction may not close, or that the dilution — if it does — could weigh heavily on existing holders. Frankfurt-listed shares closed at €2.42 on May 29, down 11.68% in a single session, extending the monthly misery. While the DTC clearance and the Q-SAFE grant offer structural pieces, investors now want to see execution — real demand, signed contracts, a completed quantum deal — before they reward the story.

Redwood AI enters the new trading week with a clear to-do list: finalize the Quantum.IQ agreement, demonstrate that its enhanced US trading access generates genuine interest, and prove that the million-dollar PR push is more than a cost line. Until tangible progress emerges, the stock remains at the mercy of skepticism that no amount of upbeat announcements has yet been able to dislodge.
