Ocugen’s 2027 BLA Target Confirmed as Shareholders Face a Long Wait and a Dilution Vote

Ocugen has reaffirmed the regulatory timeline for its lead gene therapy, OCU400, even as the company’s shares continue to languish and a key shareholder vote on its capital structure drags on. The US biotech filed updated investor materials with the SEC on Thursday, setting out the clinical and regulatory milestones for the programme ahead of a series of meetings with investors and analysts.

A Filing, a Deadline, and a Deferred Vote

At the heart of the presentation is the company’s intention to submit a Biologics License Application (BLA) in the United States in the second quarter of 2027. That target is now clearly fixed in the company’s strategic communication, though the wait for pivotal Phase 3 data will stretch into the course of next year before any filing can be made.

Alongside the operational roadmap, Ocugen is grappling with its own capital structure. A vote on increasing the number of authorised common shares by 250,000,000 has been postponed once again. Shareholder approval of that increase is a central precondition for securing future financing headroom to fund the costly clinical trials still ahead.

MENA Licensing Terms in Focus

The company is leaning on a mix of in-house development and regional partnerships. Under an exclusive licensing agreement covering selected countries in the Middle East and North Africa, Ocugen has secured financial commitments from Roots Pharmaceutical and strategic partner Al-Dhow International Holding.

The financial parameters are ambitious on paper. Ocugen stands to receive an upfront payment plus initial development and regulatory milestones of up to $4 million. On top of that come potential sales milestones of up to $255.0 million and royalties of 22% on net revenues. Ocugen itself will handle manufacturing and supply of the therapy.

Those contract values, however, will only bear fruit well down the road. The investor presentation made plain just how much time is likely to pass before commercial exploitation begins.

Should investors sell immediately? Or is it worth buying Ocugen?

Insider Selling Draws Scrutiny

Complicating the waiting period, attention has shifted to the top of the company. Roughly a week ago, chief executive Shankar Musunuri parted with a block of shares, selling 468,727 directly and a further 57,264 indirectly through KVM Holdings, LLC. The disposals were executed at a weighted average price of $0.95 per share.

According to mandatory disclosures to the US Securities and Exchange Commission, the transactions were based on a trading plan adopted on 5 June 2026 under Rule 10b5-1. Such pre-arranged selling plans are a common instrument in the US for avoiding any suggestion of insider trading. Even so, sales by senior figures during periods of depressed prices rarely send a reassuring signal to the shareholder base.

Market Mood Stays Frosty

Sentiment remains correspondingly chilly. The stock is down 43% since the start of the year. According to media reports, there has been no single publicly disclosed event that would exclusively explain the pressure on the shares. On Friday the stock closed at EUR 0.7110.

For investors, the confirmed timetable brings clarity but also a continued wait, since robust Phase 3 results will not be presented until the course of next year. Whether the planned BLA submission in 2027 can spark the hoped-for turnaround depends heavily on the outstanding trial data and on the company’s financing being secured. When operational progress bounces off the share price this way, the stretch until the data years becomes the decisive test of patience.
