The path to a Nasdaq listing for European Lithium’s shareholders is getting more complicated — and the timeline for the Greenland project at the heart of the deal is facing fresh skepticism from at least one Wall Street voice.

Freedom Broker has cut its rating on Critical Metals Corp, the company set to absorb European Lithium through an all-share merger, from “Buy” to “Hold” while slashing its price target from $17.00 to $8.00. The trigger: what the broker describes as significant delays at the Tanbreez rare earth project in Greenland, with first concentrate now not expected before 2030.

The market reaction was immediate but contained. European Lithium shares slipped 1.79 percent on Tuesday to €0.1870, a modest pullback that does little to dent a 12-month gain of 287.97 percent or a year-to-date advance of 106.40 percent. The stock’s 30-day annualized volatility sits above 90 percent, a reminder that double-digit swings are routine for this name.

A Cash Buffer and a Share Sale

The company’s quarterly report for the period through June 30 showed a cash position of $296.3 million, a war chest that provides breathing room while the merger process grinds forward. What caught attention, however, was the disclosure that European Lithium had sold shares in its Nasdaq-bound partner during the quarter — a move the company framed as a liquidity-boosting measure rather than a signal of wavering commitment to the deal.

That cash cushion comes with strings attached. European Lithium confirmed it must maintain a minimum net cash balance of A$330 million to complete the transaction, a condition that investors will be watching closely as the merger heads toward its expected closing in the second half of 2026 via a scheme of arrangement.

Greenland Approvals and a Revised Structure

The regulatory groundwork for Tanbreez was laid months ago. In April, the Greenland government approved the indirect transfer of the mining license after Critical Metals Corp acquired a stake from Rimbal, lifting its ownership to 92.5 percent. That approval was hailed as a milestone at the time; the Freedom Broker downgrade now casts a shadow over whether the project can deliver on its original schedule.

Meanwhile, the mechanics of the merger itself have been adjusted. Diverging Analyst Views

Not every analyst shares Freedom Broker’s caution. Cantor Fitzgerald initiated coverage in mid-July with a “Speculative Buy” rating and an $18.00 price target, emphasizing Tanbreez’s strategic importance to the Western rare earth supply chain. The gap between those two assessments — an $18 target versus an $8 target — underscores just how wide the range of outcomes is for the merged entity.

Institutional activity is picking up as well. A formal filing at the Australian Securities Exchange in early August flagged a shift in substantial voting power, the kind of disclosure that typically surfaces ahead of a shareholder vote on a merger. It signals that large investors are positioning themselves as the decision point approaches.

A Stock Between Two Narratives

At €0.1862, the shares sit roughly 39 percent below their 52-week high of €0.3055 reached in early June. The quarterly report offers little new on the merger’s ultimate timing, but it does confirm the pillars of the current story: a solid cash position, an ongoing 10,000-meter diamond drilling campaign at Tanbreez, and a shareholder register in flux.

The tension is now between the operational optimism baked into the Cantor Fitzgerald view and the timeline concerns raised by Freedom Broker. For European Lithium shareholders, the merger completion remains the catalyst that matters — everything else, from drilling results to cash balances, is preparation for that moment.
