The downgrade centers on revised expectations for earnings from new loan generation, with a specific focus on the valuation of the Sandy Spring Bancorp acquisition. Raymond James analysts now project that the associated loan accretion income will be fully exhausted by early 2027. This development is estimated to reduce 2027 earnings per share by approximately $0.19, or 6%—a headwind that, according to the analysts, has not yet been factored into prevailing market consensus estimates.

This reassessment stems from what now appear to have been overly optimistic assumptions regarding the prepayment rate of the acquired loan portfolio. Since the deal closed on April 1, 2025, the actual pace of loan accretion has been running roughly 25% below initial projections.
