T1 Energy Files Resale Prospectus as 1.58 GW of Module Contracts Land

T1 Energy spent Friday covering two very different bases: paperwork for a potential share resale and fresh demand for its solar modules. The company lodged a prospectus supplement with the US Securities and Exchange Commission covering the possible resale of up to 13,440,860 shares, while separately announcing supply agreements totaling more than 1.58 gigawatts.

The shares in the filing would only come into existence if holders convert a convertible bond. The bond carries a volume of $50.0 million, pays 4.75% and matures in 2031. T1 Energy stressed that the submission neither confirms a conversion nor signals that any shares will be sold — and the company would receive no proceeds from any resale. The stock slipped 4.2% in the prior session.

Order Book Builds Toward 2027 and 2028

The new module contracts cover deliveries scheduled for 2027 and 2028, and include agreements with subsidiaries of Avantus. According to the company, more than 4 gigawatts of its manufacturing capacity is now under contract for 2027 — a figure that reflects total contracted capacity, while the newly reported deals span two years of shipments.

On the supply side, T1 Energy secured a US Department of Commerce exemption roughly two weeks ago allowing imports of up to 1,725 gigawatts of solar cells. That waiver is meant to keep the G1_Dallas module plant running while construction of the G2_Austin cell factory continues. Media coverage at the time linked the exemption to a nationwide emergency provision for imports ahead of a Section 232 tariff measure, and identified the module production site as Wilmer, Texas.

Should investors sell immediately? Or is it worth buying T1 Energy?

November 12 Set for Q3 Numbers

Investors get their next hard look at the business on November 12, 2026, when T1 Energy releases third-quarter results. The report is due at about 6 a.m. US Eastern time, with a conference call scheduled to begin at 8 a.m. Eastern.

For now, the resale filing and the order announcements sit side by side — one a conditional piece of securities paperwork, the other a concrete addition to a contract book stretching into 2028.
