Mercer International’s Equity Story Hinges on a Financing Question Its Quarterly Report Cannot Answer

Mercer International has not filed for bankruptcy protection, and it has not ruled one out. That narrow space between possibility and decision is where the pulp and paper producer’s stock now trades — and it explains why a share price that has shed 93% since the start of the year is being judged less on operating performance than on how the company resolves its debt load.

Bloomberg reported on a Wednesday that Mercer is preparing a potential Chapter 11 filing, citing people familiar with the matter who were not identified. A filing could come within weeks, according to that account. No final decision had been made, and Mercer has not publicly confirmed that it is pursuing court protection. The company is simultaneously working on a recapitalization.

Creditors at the Table, Terms Still Open

Those recapitalization discussions, disclosed roughly three weeks ago, are at an advanced stage with an ad-hoc group of bondholders. The creditors involved hold senior notes due in 2028 and 2029 — and they carry weight: more than 75% of the outstanding principal amount of those notes, according to the earlier disclosure. What that concentration does not settle is the shape of any eventual solution, and for shareholders that is the question that matters.

Separately, Mercer said it would not make an approximately US$25.8 million interest payment due on its 2028 notes, instead drawing on the 30-day contractual grace period. A grace period buys room for negotiation; it does not deliver an outcome. The subsequent Bloomberg report describes a possible next step in an already strained situation, but it confirms neither the result of the talks nor that a filing will actually take place.

RBC Cuts Its Target, Keeps Its Rating

RBC Capital moved on October 16, trimming its price target on Mercer to US$0.20 from US$0.75 while leaving its “Sector Perform” rating unchanged. The revision came as part of the brokerage’s outlook for the paper and forest products sector’s quarterly results — and notably before the Bloomberg report surfaced. It should be read as a more cautious assessment at a point in time, not as a verdict on a Chapter 11 process that had not been confirmed. A price target is an estimate, not a promise about future share performance, and it is no evidence that the financing question has been answered.

Should investors sell immediately? Or is it worth buying Mercer International?

Two Dates, One Test

Mercer has scheduled the release of its third-quarter 2026 results for October 29 after the market close, with a conference call to follow on October 30 at 10:00 a.m. EST. Those dates are the next scheduled occasion for company information. The bar investors should set is not simply whether individual operating metrics look decent, but whether management makes the financing picture more legible at the same time.

Alongside the balance-sheet drama, Mercer reported on October 15 that its optical rail portal, the tScale system from Dralle A/S, had received a conformity certificate from the Physikalisch-Technische Bundesanstalt. The system measures wood chips delivered by rail, so the certification covers a measurement tool for those shipments.

Weighing it all, the caution is warranted. The Bloomberg report is not a final decision, but it is a serious warning signal. A more convincing case for the equity requires more than the possibility that a filing does not materialize — it requires a credible financing path.
