European Lithium has cleared a decisive procedural barrier in its plan to combine with Critical Metals Corp, setting the stage for a shareholder vote that will determine whether the Austrian lithium developer folds itself into a broader critical-minerals group.

The Supreme Court of Western Australia this week ordered the convening of meetings for the company’s shareholders and optionholders and approved the distribution of voting materials. The Australian Securities and Investments Commission registered the accompanying scheme booklet at the same time, clearing the way for the documentation to reach security holders on or around September 22, 2026.

A Floating Exchange Ratio Replaces the Fixed Formula

Central to the vote is a change to the merger terms struck in late August. European Lithium and Critical Metals Corp agreed to abandon the original fixed exchange ratio of 0.035 shares in favor of a variable band. The revised structure sets a floor of 0.025 and a ceiling of 0.045 Critical Metals shares for each European Lithium security.

Measured against the old fixed ratio, the upper bound represents a theoretical gain of 28.6 percent. The practical consequence for shareholders is that the value they ultimately receive now depends heavily on how the two stocks trade relative to one another before the deal closes.

Under the all-stock arrangement, Critical Metals Corp would absorb all issued shares and listed options of European Lithium. The combined entity would hold both the Wolfsberg lithium project in Carinthia and the Tanbreez rare earths project in Greenland, giving it exposure to two distinct critical-mineral categories.

Expert Verdict Splits Along Security Lines

An independent expert’s assessment offers shareholders a nuanced picture. The report concludes that the offer for ordinary shares is “not fair, but reasonable,” while still judging the merger to be in the best interests of European Lithium’s shareholders. For optionholders, the verdict is more favorable: the expert described that arrangement as fully “fair and reasonable.”

That divergence reflects the different treatment the two classes of securities receive under the takeover plan. European Lithium’s independent board committee has thrown its weight behind the transaction and recommends that security holders vote in favor.

Financing Pressure Lends Urgency to the Deal

The merger’s significance extends beyond the mechanics of the exchange ratio. Developers of mining projects classified as strategic by the European Union have warned of acute liquidity shortages, according to a Reuters report on September 8. Without adequate funding, such ventures risk delays.

For the Wolfsberg project, combining with Critical Metals Corp could offer a partial answer to the financing challenges the sector has flagged. Pooling projects across different commodity classes is intended to widen the operating base and improve access to capital markets.

Timeline and Market Snapshot

If security holders approve the plan at the meetings scheduled for October 22, 2026, management is targeting final completion in November 2026, subject to remaining security holder and court approvals and other closing conditions.

The market has been tracking the process closely. European Lithium shares closed Friday at EUR 0.2265, giving the company a market capitalization of EUR 413.37 million. Despite near-term fluctuations, the stock has posted a gain of 150 percent since the start of the year. Whether that momentum holds will depend largely on how security holders cast their votes in the weeks ahead.
