DroneShield Prepares for AGM as ASIC Probe and Record Sales Paint Two Very Different Pictures

When DroneShield’s shareholders gather on May 29, they will hear from a management team that has been completely remade in the past two months. Chief executive Angus Bean took the helm in April, and Hamish McLennan – the former Ten Network chairman – was appointed as incoming board chair in May. But the backdrop to the annual general meeting is as much about the past as the future. The Australian Securities and Investments Commission is investigating the company’s market disclosures and insider share sales that took place last November.

At the centre of the regulator’s scrutiny is a withdrawn announcement on November 10, 2025, that had touted US$7.6 million in new US government orders. The company later conceded those orders were already in the books. ASIC is now examining whether DroneShield’s market communications between November 1 and November 20 were accurate, and whether the sale of shares by executives between November 6 and November 12 – worth around A$70 million in total, according to reports – complied with the rules.

The old leadership has been swept aside. Oleg Vornik, the former CEO who was among those sellers, is gone. Bean has already signalled a tighter alignment with shareholders by requiring himself to hold shares worth 200% of his annual salary.

Robust operations defy the governance gloom

Away from the regulatory noise, DroneShield’s first-quarter numbers tell a story of rapid expansion. Revenue hit A$74.1 million in the three months to March 2026, a 121% surge from the same period a year earlier. Customer payments jumped even more dramatically, climbing 360% to a record A$77.4 million. The balance sheet is debt-free and flush with A$222.8 million in cash, giving the company the firepower to fund research and development internally.

Should investors sell immediately? Or is it worth buying DroneShield?

The sales pipeline stands at roughly A$2.2 billion, a figure that Bell Potter believes justifies its buy rating and A$4.80 price target. Jefferies is more cautious, rating the stock a hold with a target of A$3.70. The market’s nervousness is visible in the share price, which closed recently at €1.97 – down nearly 10% over the past month and trading below its 50-day moving average.

Software and big-ticket catalysts on the horizon

Management is betting on a shift from hardware to higher-margin software. In the first quarter, software revenue tripled to A$5.1 million, though it still accounts for only 7% of total sales. The company aims to lift that share to one-third by 2030. Two external catalysts could accelerate that transition. NATO is expected to establish a verified supplier pool for counter-drone systems this summer, offering direct access to member states’ defence budgets. And the US Safer Skies Act, if enacted, could open new procurement pathways for thousands of law-enforcement agencies.

For now, the regulatory cloud hangs over the stock, compressing valuations despite the operational momentum. At the AGM, Bean and McLennan will need to convince investors that the governance issues are behind them and that the A$2.2 billion pipeline can be converted into firm contracts. Only then can the company’s record cash and surging revenue take centre stage.
